Terms of Service

Welcome to PetIndex! These Terms of Service (“Terms”) form a binding agreement between you (“you” or“User”) and PetIndex, Inc. (“PetIndex”, “we”,“our”, or “us”) governing your access to and use of our websites, mobile applications, browser extensions, APIs, and any related services we provide (collectively, the Service).By accessing or using the Service, you agree to be bound by these Terms.If you do not agree, you must not use the Service.

These Terms have been drafted while PetIndex is in public-beta. We’ll refine them as the platform evolves.

1. Eligibility and Account Registration

  1. You must be at least 13 years old (or the age of digital consent in your jurisdiction, if higher) to use the Service. By using the Service, you represent that you meet this requirement and can enter into a binding contract with PetIndex.
  2. To access certain features you may need to create an account and provide accurate, complete information. You are responsible for safeguarding your login credentials and all activity that occurs under your account.

2. User Content & “Clues”

  1. User Content means any data, text, images, photographs, videos, email forwards, group posts, metadata, or other material you upload, submit, transmit, or otherwise make available through the Service—including content automatically ingested from third-party accounts you connect (e.g., Facebook® groups, Gmail® inboxes). Collectively, we call these items“Clues.”
  2. You keep ownership of your Clues. By submitting them you grant PetIndex a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, process, translate, publish, display, reproduce, and distribute your Clues for the purpose of operating, improving, promoting, and providing the Service (including search, match, and analytics features) and to comply with legal obligations.
  3. You are solely responsible for the Clues you provide and the consequences of sharing them. You represent and warrant that (a) you have all rights necessary to grant the license above and (b) your Clues (and our use of them under these Terms) do not infringe, misappropriate, or violate any law or third-party right.
  4. No endorsement or verification. PetIndex does not endorse, verify, or guarantee the accuracy or reliability of any Clue. We may—but are not required to—monitor, moderate, remove, or restrict access to Clues we believe violate these Terms or applicable law.
  5. No liability for Clues. PetIndex acts merely as a passive conduit for Clues and will not be liable for (i) any errors, omissions, misidentifications, or inaccuracies in Clues, (ii) your reliance on Clues, or (iii) any loss, injury, or damages resulting from Clues.

3. Volunteer Tools & Third-Party Accounts

  1. The Service may let you connect third-party accounts (e.g., Gmail, Facebook) to automatically ingest pet-related Clues. By connecting an account you authorize PetIndex to access, read, and process content in that account solely for matching Clues and related analytics. You may disconnect at any time in your settings.
  2. You understand that (a) any third-party platform or API is outside PetIndex’s control and may change without notice; (b) PetIndex is not responsible for any third-party platform’s acts or omissions; and (c) you must comply with all applicable third-party terms.

4. Acceptable Use

You agree not to:

  • Violate any applicable law, regulation, or these Terms.
  • Post false, misleading, or fraudulent Clues.
  • Upload content that is defamatory, obscene, harassing, hateful, or otherwise objectionable.
  • Infringe or violate the intellectual-property or privacy rights of others.
  • Interfere with or disrupt the Service or compromise its security.

5. Intellectual-Property Rights

The Service (excluding User Content) is owned by PetIndex or its licensors and protected by intellectual-property laws. Except for rights expressly granted to you in these Terms, no license or right is granted by implication or otherwise.

6. DMCA & Copyright Policy

If you believe your copyright has been infringed on the Service, please send a notice under the Digital Millennium Copyright Act (17 U.S.C. § 512) tolegal@petindex.orgcontaining the information required by the DMCA. We’ll respond as required by law.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” PETINDEX DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.We do not guarantee that: (a) the Service will be uninterrupted, secure, or error-free; (b) any particular Clue will lead to a match or that pets will be reunited; or (c) User Content is accurate or complete.

8. Limitation of Liability

To the fullest extent permitted by law, PetIndexshall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service or these Terms—even if advised of the possibility.PetIndex’s aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) US $100 or (b) the amount you paid PetIndex (if any) in the 12 months before the event giving rise to liability.

9. Indemnification

You agree to defend, indemnify, and hold harmless PetIndex and its directors, officers, employees, volunteers, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from or related to (a) your use of the Service, (b) your Clues or other User Content, or (c) your violation of these Terms or any law or third-party right.

10. Termination

PetIndex may suspend or terminate your access to the Service at any time, with or without notice, for conduct we believe violates these Terms or is otherwise harmful to the Service or its users. Upon termination, all licenses granted to you cease immediately, but Sections 2–13 survive.

11. Governing Law & Dispute Resolution

These Terms and any disputes relating to them or the Service are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. You and PetIndex agree to the exclusive jurisdiction of the state and federal courts in Wilmington, Delaware, USA.

12. Changes to the Terms

We may update these Terms from time to time. If we make material changes, we’ll post the revised Terms and update the “Last updated” date above. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

13. Miscellaneous

These Terms constitute the entire agreement between you and PetIndex regarding the Service and supersede all prior agreements. If any provision is held unenforceable, it will be severed without affecting the remainder. Our failure to enforce any right or provision is not a waiver of that right or provision.
